The Epwin Group plc, a leading British manufacturer of building products, has unanimously accepted a recommended takeover bid worth £167.3 million (approximately €190 million) from the Germany-based Laumann Group SE. This deal marks a significant step for both companies, with the offer valuing Epwin at a premium of about 31–32% to its recent share price.

The proposed transaction, expected to complete in the fourth quarter of 2025, has received full support from Epwin's board, who consider the terms fair and reasonable. Shareholders are encouraged to vote in favour of the takeover.

Laumann Group's legal team is carefully navigating the complexities of the deal. ADVANT Beiten, a Munich-based law firm, is leading the charge, advising Laumann primarily on antitrust and merger control matters. Christoph Heinrich, a partner at ADVANT Beiten, is coordinating with the UK Competition and Markets Authority, working closely with Euclid Law, a London-based firm, on UK competition law matters.

Osborne Clarke, another London and Munich-based law firm, is advising Laumann on corporate and finance issues. The team, led by lawyers Jonathan King, Ed Nisbeth, Stuart Miller, Oliver Woods, Tim Rouse, Dominic Ross, and Olexiy Oleshchuk, is ensuring a smooth corporate and financial transition.

Epwin Group, on the other hand, is being advised by Eversheds Sutherland, though no individual names have been specified.

The Laumann Group is a family-owned corporate group headquartered in Sendenhorst, Westphalia, and is a leading provider of building-related solutions and IT services. Their portfolio includes PVC profiles for windows and doors, aluminum profiles, PVC sheet and facade solutions, surface technology, and IT consulting.

The takeover offer values Epwin Group at over €190 million. Epwin is a listed company on the London Stock Exchange and is a leading British manufacturer of PVC and aluminum profiles for windows and doors, finished windows and doors, facade systems, terrace coverings, and GRP building products.

In-house advisors Björn Baltes and Raphael Nießen are also supporting the Laumann Group, while Dr. Guido Krüger from ADVANT Beiten is handling the tax matters for the group. Dr. Christian Ulrich Wolf from ADVANT Beiten is involved in the corporate aspects of the transaction.

ADVANT Beiten has previously advised the Laumann Group on acquisitions, including Procural in 2023 and Vinylit in 2021. The Laumann Group generates annual sales of €1.6 billion, while Epwin generates over €380 million. The Laumann Group's legal team is also being advised by Euclid Law on competition matters, with lawyers Oliver Bretz and Becket McGrath leading the charge.

This strategic move by Laumann Group is set to strengthen their position in the global building solutions market and expand their reach in the UK. The deal is expected to bring about synergies and create new opportunities for both companies.
