Global law firm A&O Shearman played a pivotal role in counseling the French cosmetics giant L'Oréal Groups on its recent acquisition of a significant stake in Medik8, a premium skincare brand hailing from the UK.

During the unveiling on June 9, L'Oréal's London-based M&A partners Matthew Appleton and Aoife McDermott, alongside their trusted associates, guided the multinational conglomerate through the merger and acquisition process. Antony Dean, Toluwa Agboola, Arabella Robinson, and Asfia Mohsin from the A&O Shearman team provided crucial support in this high-stakes transaction.

Other experts from A&O Shearman, such as partner Mahesh Varia and associate Betty Lorimer, offered indispensable guidance on incentives. Lydia Challen and Geraldine Chan provided tax insights, while Guillaume Valois, Charlotte Signol, and Mahesh Varia contributed crucial input from Paris and London. Antitrust counsel from Thomas Masterman, Lindsay Morison, Elaine Johnson, Kiko Demetriou, and Regina Loureiro ensured regulatory compliance.

The L'Oréal Groups' internal legal team, consisting of M&A, licensing, and financing general counsel Arnaud de Rochebrune, and M&A associate general counsel Guillaume Regnier, also played a crucial role in finalizing the deal.

Established in 2009 by chemist Elliot Isaacs, Medik8 has gained popularity for its proven, science-driven skincare products. Their bestsellers include the Crystal Retinal serum, Vitamin C day cream, Vitamin A night serum, and most importantly, their CSA Philosophy that emphasizes using Vitamin C and sunscreen during the day and Vitamin A at night.

The London-based brand has been successfully expanding into the US market and is forging ahead towards an omnichannel sales mix across leading European retailers. L'Oréal has secured the option to purchase minority shareholders, with the exception of Inflexion, a European mid-market private equity firm, which will continue to hold shares in Medik8. Founder Elliot Isaacs will retain his position on the board, and the brand's current management team will remain unchanged.

Inflexion's partner and head of consumer, Tom Pemberton, shared his enthusiasm for the collaboration, stating that he's proud of the company's achievements with Medik8 and looks forward to their continued involvement alongside L'Oréal.

The agreement is expected to be finalized within the upcoming months, subject to standard conditions and regulatory approvals. Following the closing date, L'Oréal will begin the integration process for Medik8's sales.
