Chinese trading titans given green light for acquisition of Mediamarkt/Saturn-Mother Ceconomy by Germany's Federal Cartel Office
The German Federal Cartel Office has given the green light to the takeover of Ceconomy AG by the JD.com group, a Chinese investor known for its significant presence in online trading and e-commerce logistics. The approval was announced on Thursday.
Ceconomy, headquartered in Düsseldorf, operates in the consumer electronics and household appliances sector, primarily in Germany. The company is active under the main brands Mediamarkt and Saturn, with a nationwide branch network and online trading.
On the other hand, JD.com, headquartered in Beijing, is China's largest retailer by revenue. While JD.com is currently active to a very limited extent in Germany, the takeover of Ceconomy AG is expected to significantly expand its European footprint.
The takeover, which is scheduled to be completed after November 10, 2025, is subject to the final clearance by the Federal Ministry for Economic Affairs and Energy due to potential security concerns. The cartel office chief, Andreas Mundt, has stated that the acquisition does not raise any competition law concerns.
However, any security policy aspects are subject to examination under foreign trade law by the Federal Ministry of Economics. The merger of Ceconomy and JD.com has few competitive touchpoints, making it less likely to pose a threat to competition in the market.
It's important to note that Ceconomy and JD.com are separate entities, each headquartered in different countries (Germany and China, respectively).
