In a significant move for the transportation and mobility services giant, Transdev, the partnership between the RETHMANN Group and Caisse des Dépôts has evolved to ensure the company's long-term growth and commitment to its clients.

The RETHMANN Group, a leading logistics and mobility solutions provider, has increased its stake in Transdev to 66%, making it the dominant shareholder. Correspondingly, the public financial institution Caisse des Dépôts et Consignations has reduced its stake to 34%. This shift marks a transition of Transdev’s ownership structure towards predominantly private capital, with Rethmann as the major shareholder, replacing the earlier more public-sector weighted shareholding dominated by Caisse des Dépôts.

This restructuring reflects Transdev's strategic alignment with private investors while maintaining significant public sector involvement through Caisse des Dépôts. The new shareholder structure, formed by RETHMANN and the Caisse des Dépôts, is solid and long-term, supporting Transdev's continued development dynamic initiated in 2019.

Ludger Rethmann, Administrator of the RETHMANN family group and Chairman of the Board of Directors of RETHMANN France, and Olivier Sichel, General Director of the Caisse des Dépôts, have reaffirmed their commitment to Transdev's sustainable growth strategy. Thierry Mallet, Chairman and Chief Executive Officer of Transdev, expresses confidence in this partnership, stating that it strengthens Transdev's development prospects in France and abroad.

The partnership between RETHMANN and Caisse des Dépôts is aligned on a goal for Transdev: to serve the attractiveness of territories and the quality of life of their inhabitants. Transdev, through its innovative solutions, is committed to daily ecological transformation and the development of territories. The company aims to consolidate Transdev’s position as the French champion of sustainable mobilities worldwide.

The Caisse des Dépôts remains an active partner of Transdev, having been a shareholder since 1973. This long-term commitment ensures Transdev's clients a key asset, guaranteeing their long-term commitment and the provision of appropriate solutions drawn from Transdev's experience and know-how.

In January 2019, the Rethmann Group acquired Veolia's remaining 30% shareholding in Transdev, boosting its share to 34% by integrating its subsidiary Rhenus Veniro into Transdev's portfolio. More recently, in December 2024, it was announced that the Rethmann Group planned to increase its ownership to 66%, making it the dominant shareholder.

As of mid-2025, the long-term structure is approximately:

| Shareholder | Stake | |-----------------------------|--------| | Rethmann Group | 66% | | Caisse des Dépôts et Consignations | 34% |

This restructuring reinforces Transdev's position as a leader in sustainable mobility solutions, committing to a future of ecological transformation and the development of territories. The RETHMANN group and Caisse des Dépôts confirm their long-term partnership with Transdev, ensuring its continuity of governance and long-term development.
